Endgame to Finance Steven Soderbergh's 'Bitter Pill' - The ...

Endgame Entertainment has come on board to finance Bitter Pill, the Steven Soderbergh psychological thriller formerly known as Side Effects.

Rooney Mara, Jude Law, Channing Tatum and Catherine Zeta Jones are in various stages of negotiations to star in the movie, which only a few weeks ago was being financed by Megan Ellison?s Annapurna Pictures.?

Endgame Entertainment is in discussions with 1984 Pictures to co-finance. Endgame?s James D. Stern and Douglas E. Hansen will join the project and serve as executive producers. Scott Z. Burns wrote the script and is producing with Gregory Jacobs and Lorenzo di Bonaventura.

Bitter Pill is a thriller set in the world of psychopharmacology and centers on a troubled and depressed woman (Mara) who is coping with the imminent release of her husband from jail and begins to take a new prescription drug, an act that causes unforeseen consequences.

Open Road will domestically distribute the movie, which is eying an April 2012 start and a release in the first half of 2013. ??

Filmnation is handling international sales and will introduce the film to buyers at the upcoming Berlin Film Festival.

For Endgame, Pill falls in line with Endgame?s goal of making elevated commercial films that will go through their recently announced P & A fund.

For many younger football fans, the name ?Joe Namath? doesn?t conjure memories of Broadway Joe or Super Bowl III but a drunken pass at ESPN sideline reporter Suzy Kolber during a December 2003 edition of Sunday Night Football.? His ?I wanna kiss you? moment became the stuff of TV legend, even making its way into an epic auto-tune mash-up from D.J. Steve Porter, who coincidentally now crafts similar projects for the four-letter network.

In an HBO documentary on Namath?s life, which debuted at 9:00 p.m. ET on Saturday, Kolber addresses the incident for the first time.? Without saying ?don?t blame us, we didn?t know Joe was drunk,? she seems to try a little too hard to offer up not-so-subtle excuses for not knowing Joe was drunk, even though perhaps everyone involved should have known, or at least suspected, that Joe was drunk.

Especially once he started talking.

?Joe was escorted onto the field by a number of Jets personnel,? Kolber says of the subject of her eventual interview.? ?And what I recall is that he and I never really had a chance to chat, because he wouldn?t stand still.?

Kolber creates the impression that she didn?t have any opportunity to observe his behavior (Namath admits that he?d been drinking all day and night) until the interview started.? ?When we were really getting to close to when our producer wanted to have him on, I took his arm because I just didn?t want him to walk away,? Kolber says.

And even when the interview began, Kolber explains (with her trademark perky nonchalance) that no one thought anything was amiss as he gave a stumbling, incomprehensible answer to the first question:? ?What impresses you about Chad [Pennington]??

?I believe that anything anyone else has watched Chad play impresses me the same thing impresses them,? Namath said at the time, clumsily and awkwardly.

She attributed his off-kilter behavior to, yes, the weather.? ?When we first started talking and he was slow and deliberate in his speech,? Kolber says, ?what was going through my head was, ?Maybe it?s just really cold.??

But here?s the kicker from Kolber, the thing that made me think for the first time that ESPN adroitly has been able to avoid for more than eight years the question of how they put him on the air in the first place, and why they didn?t kill the interview after his initial rambling response.? ?None of the executives in the truck were alarmed either, because nobody said, ?Stop,?? Kolber says.? ?The direction in my ear was, ?Keep going.??

None of this changes the fact that Namath was at fault for drinking too much and agreeing to go on camera and then acting like a jerk by saying ?I wanna kiss you,? not once but twice.? But I?ve been involved in the TV side of this business long enough now to realize that there are (or at least should be) layers of folks who when trouble pops up can make good decisions in the blink of an eye, or even faster.? Still, until seeing Kolber?s roundabout effort to help ESPN continue to sidestep shrapnel for allowing the ?I wanna kiss you? moment to happen by not ending the interview (or by never doing it in the first place), I never made the connection.? Joe was always the bad guy, and ESPN and Kolber were always without blame of any kind.

After hearing Kolber?s explanation, I?m starting to think that maybe a few tougher questions should have been asked back in late 2003.? It?ll be interesting to see if any of those questions are asked now.

LOS ANGELES (AP) ? What a cast the Screen Actors Guild Awards have lined up: Marilyn Monroe, Laurence Olivier, Margaret Thatcher and J. Edgar Hoover.

Actors playing illustrious real-life figures factor into the 18th annual honors given by Hollywood's main acting union Sunday.

The best-actress category features Meryl Streep as Thatcher in "The Iron Lady" and Michelle Williams as Monroe in "My Week with Marilyn." Leonardo DiCaprio is up for best actor as FBI boss in "J. Edgar," while "My Week with Marilyn" co-stars supporting-actor nominee Kenneth Branagh as Olivier.

Streep won a Golden Globe for "The Iron Lady" and is considered a favorite for the SAG prize and for her third win at the Academy Awards, which are set for Feb. 26.

The front-runners for the other SAG awards are actors in fictional roles, though, among them George Clooney as a dad in crisis in "The Descendants" and Jean Dujardin as a silent-film star fallen on hard times in "The Artist." Both are up for best actor, and both won Globes ? Clooney as dramatic actor, Dujardin as musical or comedy actor.

Octavia Spencer as a brassy Mississippi maid in "The Help" and Christopher Plummer as an elderly dad who comes out as gay in "Beginners" won Globes for supporting performances and have strong prospects for the same honors at the SAG Awards.

The winners at the SAG ceremony typically go on to earn Oscars. All four acting recipients at SAG last year later took home Oscars ? Colin Firth for "The King's Speech," Natalie Portman for "Black Swan" and Christian Bale and Melissa Leo for "The Fighter."

The same generally holds true for the weekend's other big Hollywood honors, the Directors Guild of America Awards, where Michel Hazanavicius won the feature-film prize Saturday for "The Artist." The Directors Guild winner has gone on to earn the best-director Oscar 57 times in the 63-year history of the union's awards show.

SAG also presents an award for overall cast performance, a prize that's loosely considered the ceremony's equivalent of a best-picture honor. However, the cast award has a spotty record at predicting what will win best picture at the Oscars.

While "The King's Speech" won both honors a year ago, the SAG cast recipient has gone on to claim the top Oscar only eight times in the 16 years since the guild added the category.

The SAG ceremony also includes an award for stunt ensemble, whose nominees include such hits as "Harry Potter and the Deathly Hallows: Part 2," ''Transformers: Dark of the Moon" and "X-Men: First Class."

Airing live on TNT and TBS, the show features nine television categories, as well.

Receiving the guild's life-achievement award is Mary Tyler Moore. The prize will be presented by Dick Van Dyke, her co-star on the 1960s sit-com "The Dick Van Dyke Show."

(AP) ? Marian Gaborik got the best of New York Rangers teammate Henrik Lundqvist, and Zdeno Chara scored the winning goal for the NHL All-Star team named after him.

Even in defeat, Daniel Alfredsson rewarded the hometown fans with two goals and an assist, and then the Ottawa Senators captain provided a hint that he might come back for one more season.

For an All-Star game that lacked the league's top-name talent in Sidney Crosby and Alex Ovechkin, there was plenty to keep everyone buzzing on Sunday.

Gaborik scored three times, added an assist and earned MVP honors, and Team Chara used a third-period offensive eruption to secure a 12-9 win over Team Alfredsson.

"We have a lot of fun out there," said Lundqvist, who allowed three goals on 12 shots in the first period. "A lot of times you might forget because it's a lot of pressure, and you put a lot of pressure on yourself, but this weekend is all about the game of hockey and having fun with it. So we've been enjoying ourselves, and I hope the fans felt the same way."

What was not to like?

Fans were treated to a wide-open, no-hitting style in a game that featured plenty of nifty passing plays, numerous odd-man breaks and even a penalty shot awarded to Steven Stamkos, who leads the NHL with 32 goals.

Stamkos, however, was foiled on his freebie ? the second in All-Star game history ? when he attempted the same spin-around move he used to beat Carey Price in the skills competition on Saturday night. Jimmy Howard didn't bite on Sunday, holding his ground and hugging the post to stop Stamkos' penalty-shot attempt.

"I think I ran out of moves," Stamkos said. "I tried something fancy and hoped it would work. It didn't. But I just tried to have fun with it."

Gaborik enjoyed himself the most, earning bragging rights over Lundqvist after the two spent the past few days playfully going back and forth on Twitter. The mock feud was over Lundqvist ? Alfredsson's assistant captain ? choosing not to select Gaborik in the All-Star player draft on Thursday.

Gaborik showed just how motivated he was. After opening the scoring 4:34 in on a give-and-go with Pavel Datsyuk, Gaborik circled the net dropped to one knee and pointed his stick machine-gun style at Lundqvist while pumping his fist.

The move was identical to one done by Rangers forward Artem Anisimov earlier this season when he scored against the Tampa Bay Lightning.

This one was all in fun, said Gaborik, the 16th player to score at least three goals ? one short of matching the record ? in the All-Star game. It was the first All-Star hat trick since Rick Nash had three goals in 2008.

"It's always tough to score on him," Gaborik said of Lundqvist. "It's not easy. I was fortunate to be lucky against him, but I think he's one of the best if not the best goalie in the league."

Tim Thomas made 18 saves in the final period, and extended his record by winning his fourth All-Star game.

Hossa and Jarome Iginla had a goal and two assists, and Joffrey Lupul scored twice for Team Chara.

For Team Alfredsson, Henrik Sedin had a goal and two assists, and Daniel Sedin, John Tavares, Jason Pominville and Milan Michalek had a goal and assist each.

The outcome was decided in the final period when Team Chara outscored Team Alfredsson 6-3.

With the game tied at 8, Chara, Marian Hossa and Corey Perry scored in a span of 1:22, beating goalie Brian Elliott on consecutive shots.

Gaborik set up Chara for the decisive goal, flipping the puck into the high slot, where Chara slapped it in.

"I was surprised that I was open, and I just put it on net," Chara said. "It's nice to get the win. The fans saw some goals, and then as we were going toward the end, you could see that the guys wanted to win."

Chara paid respect to Alfredsson, saying he was rooting for his former Senators teammate to complete his hat trick.

"Alfie's such a classy guy, obviously a big icon in Ottawa and Sweden, as well, and such a great player to represent this team," Chara said. "So of course I was pulling for him."

After falling behind 3-0, Team Alfredsson rallied to tie it before the first period ended. But they didn't get their first ? and only lead ? until Alfredsson scored twice during a 1:31 span to put his team up 6-5 with just under four minutes left in the second.

His first goal came on a great individual effort in which Alfredsson, dragging the puck behind him, split defensemen Kimmo Timonen and Ryan Suter, and flipped a shot that sneaked inside the right post to beat Price. Alfredsson's second came on a wonderful passing play courtesy of Daniel and Henrik Sedin, whom Alfredsson was looking forward to play with when he drafted the twins.

That got the crowd chanting "Alfie! Alfie! Alfie!"

He nearly scored his third goal in the third period, only to have a one-timer from the left circle ring off the post.

But it was after the game when Alfredsson sounded upbeat about his future in an interview broadcast on the arena's scoreboard.

With a smile on his face, and fans cheering his name, Alfredsson said: "Fifty percent yes, and my wife's going to have to decide the other 50."

He has one year left on his contract.

It a game built around offense, the goalies still found ways to have fun with it.

Price allowed three goals on 14 shots, and lamented during the first intermission the lack of defense.

"I feel like being a lamb getting led to slaughter," Price said. "I'm must be holding on for the ride today and hope I don't get lit up too bad."

Ian Abercrombie, Mr. Pitt on "Seinfeld", dies at 77 (Reuters)

LOS ANGELES, Jan 29 (TheWrap.com) ? Ian Ambercrombie, the classically trained British stage actor best known to American TV audiences as Elaine Benes' nutty boss Mr. Pitt on "Seinfeld," died of a heart attack Thursday in Los Angeles. He was 77.

Abercrombie appeared on several other U.S. TV shows. He played the 800-year-old Professor Crumbs on "Wizards of Waverly Place and a butler on "Desperate Housewives," and made guest appearances on "Twin Peaks," "Dynasty" and "Days of Our Lives."

He appeared in a number of movies, including "Stalag 17," "The Lost World: Jurassic Park" and "The Prisoner of Zenda," with Peter Sellers.

He did voiceover work in "Star Wars: The Clone Wars," "Garfield: A Tale of Two Kitties" and "Rango," and had completed "Green Lantern" for the Cartoon Network just before he died.

As Mr. Pitt in Seinfeld, he was known for his obsession with socks and quirky habits like eating candy bars with a knife and fork.

He is survived by his wife, Gladys.

Remember, the rule of thumb here?and while it doesn?t hold quarter-to-quarter, it?s pretty reliable year-to-year?is that for every point real GDP grows about the trend rate of 2.5%, the unemployment rate should come down about a half a percent.? So a sustained growth rate close to 3% should shave one-quarter of a percentage point off of the jobless rate.

The question is sustainability.? Headwinds persist?Europe (and the UK) pose growth and financial contagion risks, oil price spikes, and fading stimulus all come to mind, and the capacity of this Congress to self-inflict economic wounds is also hanging out there (failure to extend the UI and payroll tax cut, e.g., would definitely hurt near-term growth).

One notable data signal from the report is the growth rate of final sales, which excludes inventory buildups or drawdowns, and is thus considered a cleaner measure of actual real-time demand in the economy.? Final sales grew only 0.8% last quarter, meaning inventory buildup was a big part of the topline number and suggesting that the real, underlying growth rate of the ongoing expansion is still too slow.? It?s also worth noting that the economy expanded at a relatively sloggy rate of 1.6% over the year 2011.

So, have we hit escape velocity from the clutches of the Great Recession?? I?d say no, not yet.? We?re headed in the right direction, we?ve got some mo, but growth is too slow and there?s still too much fragility and slack in the system.

Assets on tax forms missing on Romney financial disclosures (Reuters)

(Reuters) ? A handful of financial holdings reported by U.S. Republican presidential hopeful Mitt Romney on his tax returns was not declared in earlier government financial disclosures, his campaign acknowledged on Thursday.

A comparison of Romney's 2010 tax filings with a set of disclosure forms he submitted last year to government election officials showed some holdings listed in the tax returns were not listed in the publicly available disclosure forms.

U.S. law requires presidential candidates to disclose financial holdings, including stocks, bonds, IRA (individual retirement account) assets, mutual funds and bank deposits in forms filed with the government.

The tax returns, submitted to the Internal Revenue Service, were made public on Tuesday in response to pressure for Romney to release more details about the vast fortune he made while he was a private equity financier at Bain Capital.

Holdings listed in the tax returns, but not listed in the ethics disclosures, included entities in offshore jurisdictions such as Ireland, the Cayman Islands, Bermuda and Luxembourg, a review of documents by Reuters showed.

Romney's campaign and a Romney associate played down the discrepancies. They said that, if necessary, the candidate would file an amended financial disclosure form with federal authorities.

"The inescapable fact is that by releasing over 600 pages of information regarding his finances, Mitt Romney is clearly coming down on the side of disclosure," said Andrea Saul, a Romney spokeswoman.

"Any document with this level of complexity and detail is bound to have a few trivial inadvertent issues," Saul said.

She added, "We are in the process of putting together some minor technical amendments, which will not alter the overall picture of Gov. and Mrs. Romney's finances as disclosed in August."

BUSINESS ACUMEN

Professor Kathleen Hall Jamieson of the Annenberg School of Communications at the University of Pennsylvania said in an email, "Voters would reasonably expect close attention to detail in all matters financial from a person who has premised his candidacy on his management skill and business acumen."

Larry Sabato, a political science professor at the University of Virginia, said that anticipating a run for president, Romney and his aides "should have gone the extra mile to make sure" the paperwork was accurate, especially as Romney can certainly afford the best accountants and lawyers.

Speaking in Romney's defense, Mark Corallo, an official in former President George W. Bush's administration, said: "Whatever one thinks of Mitt Romney, he is as honest as the day is long. Any discrepancies in anything he has submitted are honest mistakes that are more the result of this byzantine tax code and disclosure requirements that are the enemy of all honest businessmen."

Romney's associate, who spoke on condition of anonymity at the request of the campaign, said some relevant information was not in the hands of Romney's entourage when his financial disclosure form was prepared and submitted to federal authorities.

The associate said the legal custodian of the assets prepared the list of securities for Romney and his team to put in the financial disclosures. The associate declined to identify the custodian. The campaign did not reply to a similar request.

The associate said Romney's team believed most if not all entities on his tax forms that did not appear in his public financial disclosure did appear in fact on the public filing but under a different name.

Romney's associate suggested other reasons why items listed in the tax returns might not have been in the financial disclosure. They included the possibility that some entities in which Romney held interests had inadvertently not transmitted relevant information to Romney; that some information was not received by Romney's accountants in time; and that some of the holdings were so small they did not meet a legal threshold requiring that they be reported.

QUESTIONS EMERGE

The associate also said some of the holdings listed in the tax return, but not in the financial disclosure, were owned by larger entities, which were appropriately listed in the financial disclosure.

In other cases, the associate said, investment funds in which Romney held stakes would not disclose information to Romney's financial and legal advisers about entities in which they in turn had invested on grounds of confidentiality.

The associate said the Office of Government Ethics, which receives and reviews public federal financial disclosures, had indicated it was legitimate for candidates denied information by fund operators about subsidiary investments to report such holdings as Romney had reported his.

Kenneth Gross, an ethics and disclosure expert at the Skadden, Arps law firm, said he had handled complex financial disclosure issues for wealthy people and therefore had sympathy for the assertions from Romney's camp that entities might have been listed under different names in different documents and that third parties may not have provided timely information.

Antara Afrin: Music Makes Us Who We Are

Music -- can words really describe that feeling we get when we listen to it? Not really, but what exactly makes "good music?" Is it the type or the singer or something other element? Whatever it is, we all know it has a great effect on us. However, is a certain type of music better than another? That is exactly where the debate comes in. Some claim country music is better than R&B, while others claim the exact opposite. However, there is one type of music that is criticized a bit too much, especially by people who do not take the time to listen to it. That type is rap music.

Many folks in our society often connect rap music with violence and other criminal acts. However, it is like every other type of music -- it can be used to express different feelings and moods. Despite saying this, people will still associate rap music with crime when the truth is that most rap music portrays the rapper's life.

I am sure we all have heard of Eminem. Most of his music tells his life story. For example, "Mockingbird" gives the listener advice that things might not always go the way they want it to, but at the end everything is still alright. "You're Never Over" is about his best friend Proof, who passed away. Every time I listen to "You're Never Over," I think about my best friend who passed away several years back. That is probably why it holds so much meaning to me. Society, however, instead of appreciating his ability to be outspoken, has the tendency to criticize it.

Just like Eminem, many other rappers tell their life stories through their lyrics. If they have been through hardships, should they not be allowed to express themselves? Lupe Fiasco is a great example. Most of his songs are about accepting differences among people and the increase of unwanted governmental control. "Words I Never Said" portrays exactly what people are feeling. They are forced to keep their thoughts unspoken. Lupe is rebelling by rapping about problems in our society. Should this be considered a crime?

Music is what makes a person who they are. It is true that certain types, such as rap music, may be depicted as having a negative impact on our society. However, this music most likely contains the most meaning. Everyone should be allowed to seek their story through their music, be it rap or country -- it is still a way of expressing ourselves.

Senior NSC aide vetted for Pentagon assistant secretary post (The Envoy)

The shuffle of top Pentagon officials that started last summer with the departure of Robert Gates continues in the senior policy ranks.

Yahoo News has learned that Derek Chollet, the National Security Council's senior director for strategic planning, tops the short list and is currently being vetted to be nominated to succeed Alexander "Sandy" Vershbow as Assistant Secretary of Defense for International Security Affairs. Vershbow, a former U.S. ambassador to NATO and South Korea, is slated to move to Belgium early next month to become the top civilian official at NATO.

Chollet has been at the NSC for about a year. Before that, he served as deputy director of the State Department's policy planning shop. He did not respond to a query from Yahoo News on the expected nomination, which has not yet been announced by the White House.

One source told Yahoo that Chollet is currently being vetted. Another official confirmed that Chollet is among those being considered. A third official indicated that several candidates proposed for consideration for the post by the Defense Department had been rejected by the White House, which wants a European expert in the job.

However, view from some Democratic policy observers is that the appointment fits into a larger pattern--one in which several key Defense Department slots are being filled with officials from the National Security Council.

(Among those: Yahoo News previously reported that Matthew Spence, a former NSC aide to National Security Advisor Tom Donilon, has been tapped to succeed Colin Kahl as the Deputy Assistant Secretary of Defense for the Middle East. A third NSC official, senior director for Europe Elizabeth Sherwood-Randall, is, according to sources, likely to be nominated to become the next Principal Deputy Undersecretary of Defense for Policy. As Yahoo News first reported, Jim Miller, who currently serves in that principal deputy role, has been tapped to succeed his boss Michele Flournoy as the Undersecretary of Defense for Policy--the top Pentagon civilian policy advisor job. The White House announced the nomination this week.)

What's with all the NSC aides being slated for senior Pentagon policy posts? The emerging impression in some Democratic foreign policy circles is that National Security Advisor Donilon just doesn't much trust the Pentagon. The White House feels it has been repeatedly blindsided on various issues by the Defense agency, sources said, and Donilon, out of loyalty to the president's wishes, is trying to get more control over the notoriously powerful institution.

That impression echoes one described at length in Bob Woodward's 2010 book, "Obama's War", on the White House's feeling repeatedly boxed in and manipulated by senior Pentagon leaders and the generals who were advocating for a surge of U.S. military forces to Afghanistan.

Then-Defense Secretary Gates had complained to Donilon's then-boss Jim Jones "that Donilon's sound-offs and strong spur-of-the-moment opinions, especially about one general, had offended him so much at an Oval Office meeting that he nearly walked out," Woodward reported in the book.

A father and school superintendent from North Dakota uses WWE trading cards to help his kindergartener learn:

I read your story of a teacher that was using the WWE in their classroom, and I thought I would explain my situation with you, too.

I have two children (ages 5 and 8) and we all enjoy watching the weekly WWE shows and following all the Superstars.

My son is in Kindergarten this year. He collects the action figures and has started to collect the trading cards. He enjoys playing with the figures and really likes looking at the cards.

My son has a slight speech problem. He has a hard time with the "r" sound. His speech teacher has been working all year with him on the correct "r" sounds in words. One day, his speech teacher came to me and said they he is making good progress, but she was looking for something that he really liked that she could bring into the class that would help him with his "r" sounds.

I mentioned that he collects the WWE trading cards and that maybe he should bring them in and go over them with her. I explained to her that there are many wrestlers with the "r" sound in their name. She thought that would be a great idea.

The next week, I sent him to school with his three ring binder with his WWE cards. After the first day with his cards, the speech teacher came to my office and said how much fun they had looking at the cards and all the while working with the "r" sounds. When I got home I asked my son how his speech class was. He told me that "we were too busy looking at my cards, that we didn't have time to do speech!" I started to laugh as I knew that they had spent about a half hour going over the cards.

They still use the cards in class, and his use of the "r" sound has improved greatly! Because of his hard work and dedication, we are all going to the WWE show in Fargo, N.D. Needless to say, he is very excited (so am I) and I'm sure he'll be cheering on all his favorite "r" Superstars!

As a lifelong fan and current elementary school teacher, I am always looking for ways to incorporate WWE into my daily lessons. Our subscription to WWE Kids magazine is very popular and not easy to keep on the shelves. Every once and awhile, I'll spot a student sneaking a peek during a math lesson.

Speaking of math, last week our whole class went on a "shopping trip" to WWEShop.com. The lesson was on adding money. The students were asked to browse around and choose two items they would like to "buy." Once they made their choices, they added up the prices, found the total, and shared their purchases with the class. I have to say, Zack Ryder's merchandise was very popular.

I have plans to continue using WWE as a teaching tool in my classroom. Our next math unit is on measuring and I plan to teach a lesson on comparing the height of several superstars. Big Show vs. Hornswoggle shouldn't be too difficult.

Eastman Chemical to buy Solutia for $3.38 billion (Reuters)

(Reuters) ? Eastman Chemical (EMN.N) is buying specialty chemical maker Solutia Inc (SOA.N) for about $3.38 billion in cash and stock to extend its reach in emerging markets, particularly the Asia-Pacific region.

The deal is valued at $27.65 a share based on Thursday's closing prices, a 42 percent premium for Solutia shareholders. Shares of Solutia rose to $27.50 in trading before the market opened.

Eastman shares also rose in premarket trading, jumping roughly 8 percent in a sign that investors are happy with the deal.

Solutia, whose chemicals are used in products from tires to iPads, emerged from bankruptcy in 2008. Its shares fell 25 percent last year.

"Solutia has transformed itself into a financially strong, innovative performance materials and specialty chemicals company, with enviable market leading positions in virtually every market it serves," Eastman Chief Executive Officer Jim Rogers said in a statement announcing the deal.

After years of sluggish growth, Eastman is now expanding its lucrative specialty plastics and wood applications businesses, and its shares are up about 15 percent in the past 12 months.

The deal calls for Eastman to pay $22.00 in cash and 0.12 of a share for each Solutia share. Solutia has 122 million shares outstanding according to Thomson Reuters data, which would mean Eastman is paying about $2.69 billion in cash and $690 million in stock for the company.

The merger would add to earnings immediately, Eastman said, and the combined company would save about $100 million a year in costs by the end of 2013. The companies expect the deal to close around midyear.

Eastman said it now expects 2012 earnings to be around $5 a share, excluding acquisition-related costs and charges. It raised its 2013 earnings forecast to more than $6 per share.

Jefferies analyst Laurence Alexander said in a research note that the deal, along with Westlake Chemical's (WLK.N) recent bid for Georgia Gulf Corp (GGC.N), reflects a move toward consolidation among specialty chemical companies.

Alexander said that other companies generally thought to also be takeover candidates include Albemarle (ALB.N), Celanese (CE.N), Cytec (CYT.N), Huntsman (HUN.N), OMNOVA Solutions (OMN.N), and W.R. Grace (GRA.N).

Including debt, the Solutia deal is valued at about $4.7 billion, Eastman said. It plans to pay for Solutia with cash on hand, shares and debt.

The deal does not include a financing contingency, Eastman said, meaning the company would have to close on the deal even if it is not able to get banks to fund the purchase. Solutia would have to pay a break-up fee of $102 million if it walks away from the deal.

Eastman Chemical was formed in 1994, when Eastman Kodak (EKDKQ.PK) spun off its chemical business to help pay down debt. Kodak filed for bankruptcy earlier this month.

Citi (C.N) and Barclays Capital (BARC.L) are financial advisers to Eastman, while Deutsche Bank Securities (DBKGn.DE) and Moelis & Co LLC advised Solutia.

Why Ron Paul is shivering in Maine instead of cavorting in Florida

The other three GOP presidential candidates are stumping in Florida ahead of the Jan. 31 primary, a winner-take-all-delegates affair. But not Ron Paul. Here's why he's up in Maine.

What?s Ron Paul up to? The other three GOP presidential candidates are focusing their efforts on Florida in advance of the Sunshine State?s Jan. 31 primary. But Mr. Paul is taking two days this week to go in the other direction. He?ll be in Maine, speaking at Colby College on Friday and the University of Maine?s Gorham campus on Saturday, among other possible appearances.

Why Maine? It?s no secret that Paul is giving Florida a pass, because ad time there is expensive and the state?s electorate skews older, which is not Paul?s best demographic. The Texas libertarian is focusing on caucus states such as Maine and Nevada, where his fervent supporters can more easily out-organize the competition.

But here?s something that has been little noticed in the press: Maine?s caucuses actually begin this weekend. So Paul may be pulling something of an end run about his rivals.

Yes, we know, if you look at the Maine Republican Party?s website, it lists Feb. 11 as the date officials will announce the results of a caucus presidential straw poll.

But if you scroll through the details, you?ll see that the party has established a window of Feb. 4-11 for Maine Republicans to caucus and vote for a presidential nominee and delegates to the state convention. And if you really squint and look at the fine print, you?ll note that the party faithful in some towns have ignored this guidance, and are meeting either before or after the February window.

Lincoln, Lowell, Burlington, Chester, Enfield, Winn, and Howland are holding their joint caucus on Saturday, for example. Millinocket?s is on Sunday (it?s at the Snowmobile Club). Castine?s is not until March 3.

We?re not the only commentator to have noticed this. Josh Putnam, a political scientist at Davidson College who specializes in the election process, discussed this development on his Frontloading HQ blog on Wednesday.

Maine?s situation ?is unique, but it isn?t unprecedented,? wrote Mr. Putnam. Caucus states sometimes spread out their process down at the precinct or county level.

?Now, which candidate will make a last minute trip up to Penobscot County before Saturday?? Putnam asked, rhetorically.

We can answer that, can?t we? It?s Paul.

Of course, the stakes are higher in Florida, a winner-take-all primary with a prize of 50 delegates, than Maine, where caucusgoers will select 24 delegates statewide and vote in a nonbinding presidential straw poll. That?s why Mitt Romney and Newt Gingrich are battling it out down south. We?re sure it has nothing to do with the weather in Miami versus in Penobscot County, where this time last year it was about 14 below. That?s so cold that when you talk outdoors adverbs freeze and fall to the ground before they can find their proper place in a sentence.

The experiment aiming to demonstrate that tar pitch is fluid has been running for more than 80 years

It all started in 1927, back when bob cuts were in and?talkies had only begun gaining traction. Professor Thomas Parnell wanted to?demonstrate that tar pitch ? a derivative of tar that's so brittle, a hammer could shatter it ? is actually?fluid. To do so, he heated a pitch sample, poured it into a funnel, and waited for it to cool?for three years. Once it was settled, he broke the seal of the funnel's stem, and waited for the tar pitch to drip out. And it did! After eight years, that is.

The next dollop of pitch that took a year longer than the first was the last one that occurred within the University of Queensland's first physics professor's lifetime. The third pitch blob settled at the bottom of the beaker in 1954, and?there have only been five more drops since then. Thanks to this?experiment, we now know that tar pitch is roughly 100 billion times more viscous than water!

For quite some time, the experiment (protected by nothing but a bell jar) had been in danger of being thrown out if not for John Mainstone, who joined the university's physics faculty back in 1961. It took another 14 long years before he was able to persuade his department to display the tar pitch set-up again.

Now, you can even watch Professor Parnell's brainchild on?webcam if you suddenly get the urge to stare at the black globule forming at the end of the funnel stem very, very slowly. Mainstone reckons the ninth drop will happen sometime in 2013. This will be the first one to ever be recorded on?video, as the plan to document the eighth instance in 2000 was ruined by a broken camera. If you're wondering how long it will actually take for the experiment to be marked complete, Mainstone says, "it has at least 100 years left if someone doesn't throw it out."

iPhone 5 said to get 4-inch screen, new design

The iPhone 5 will get a larger screen and a new shape, according to a new report.?

Last fall, the tech press ? and we include ourselves in this category ? got extremely jazzed up about the imminent arrival of the iPhone 5, which many bloggers thought would be thinner and faster and flatter than all other iPhones that had come before. Of course, what Apple actually unveiled was the iPhone 4S, essentially an internally bulked-up version of the iPhone 4, with a better camera and the Siri voice-activated personal assistant.?

Have no fear! An Apple iPhone 5 is actually on the way, according to the tech site 9 to 5 Mac, which cites a source at Foxconn, the Chinese manufacturer that provides many Apple parts.?

"The?iPhone 5, as it is currently being called, is now gearing for production," writes Seth Weintraub of 9 to 5 Mac. "The source said various sample devices are also floating around (they vary slightly from one another), so it is impossible to tell which one will be the final."

Still, Weintraub says that all of the sample devices have a few things in common. For one, they all have different body shapes than the current iPhone ? although none of the samples are teardrop shaped, as had been previously rumored. And all of the devices have screens larger than 4 inches, up from the current 3.5-inch display. Finally, Weintraub notes, none of the samples are in final form.?

In other words, things can change, and they probably will. Apple is known for throwing out finished prototypes because they weren't perfect.

For what it's worth, the rumors floated by 9 to 5 Mac don't seem that outlandish to us. After issuing two phones with identical boxy curves, and identical 3.5-inch displays, Apple is due for a shake-up. And a screen size shake-up is a good way to do that, especially considering the recent arrival of some tremendously large smartphone displays, like the 4.65-inch monster screen on the Samsung Galaxy Nexus.?

Paterno: Visiting hours ahead as PSU mourns (AP)

STATE COLLEGE, Pa. ? For decades they cheered him, now it's time for Penn State students and alumni to mourn Joe Paterno.

Three days of public events were set to begin Tuesday as Penn Staters from State College and far beyond say goodbye to the man who led the Nittany Lions to 409 wins over 46 years.

Paterno died of lung cancer on Sunday, learning of his diagnosis in November just days after he was fired in the aftermath of the shocking child sex-abuse charges against former assistant Jerry Sandusky.

Paterno's son, Scott, says that despite the turmoil, Paterno remained peaceful and upbeat in his final days and still loved the school.

Big crowds are expected to show their love for Paterno over the next few days, with a 10-hour public viewing beginning at 1 p.m. Tuesday.

The viewing will be on campus at the Pasquerilla Spiritual Center. After another public viewing on Wednesday, Paterno's family will hold a private funeral service, followed by a procession that will run through State College.

Then, on Thursday, the school's basketball arena will be the sight of a public service called "A Memorial for Joe." Penn State was expecting a huge demand for seats and set a two-per-person limit for those ordering tickets.

The winningest coach in major college football history, Paterno was fired Nov. 9 after he was criticized over his handling of child sex-abuse allegations leveled against Sandusky in 2002. Pennsylvania's state police commissioner said that in not going to the police, Paterno may have met his legal duty but not his moral one.

Bitterness over Paterno's removal has turned up in many forms, from online postings to a note placed next to Paterno's statue at the football stadium blaming the trustees for his death. A newspaper headline that read "FIRED" was crossed out and made to read, "Killed by Trustees." Lanny Davis, lawyer for the school's board, said threats have been made against the trustees.

Scott Paterno, however, stressed that his father did not die with a broken heart and did not harbor resentment toward Penn State.

Breach of new EU online data rules to carry high fines (Reuters)

BRUSSELS (Reuters) ? The European Commission proposed new online data privacy rules on Wednesday, putting more responsibility on companies to protect users' information, and said those who breach the code could be fined up to two percent of annual turnover.

After two years of examining the shifts in Internet use and the behavior of consumers using websites such as Facebook, Google and Yahoo!, the European commissioner in charge of data privacy, Viviane Reding, said she was determined to give individuals more control over their personal information.

"The protection of personal data is a fundamental right for all Europeans, but citizens do not always feel in full control of their personal data," Reding said.

"A strong, clear and uniform legal framework at EU level will help to unleash the potential of the digital single market and foster economic growth, innovation and job creation."

The new rules, which have caused widespread concern among major technology and data companies, are expected to come into force at the end of 2013, once they have been approved by all EU member states and the European Parliament.

One of the more contested elements of the proposed legislation is what Reding has dubbed the "right to be forgotten" - effectively giving an individual the right to have all their data pulled from websites if they wish.

Access to a certain amount of personal data - and the digital trace that people leave after using the Internet for any length of time - is a critical element in the business model of companies such as Facebook and other social networking sites.

As well as causing consternation to those companies, arguments against the "right to be forgotten" have also come from historians and U.S. government authorities, who have argued that hugely valuable information that forms part of the historical record could be lost under the proposed laws.

After intense lobbying in recent months, Reding's department has watered down the proposal, removing a company's liability for not scrapping all of an applicant's data traces if it can be shown that a third party copied the data without knowledge.

And bloggers will not be subject to the new data rules if they are writing in a personal capacity - meaning they would not have the same obligation to remove all information if requested.

Some large online companies are more concerned about new guidelines on user consent - which would require companies to secure a user's formal approval to hold their data rather than assuming permission - rather than the prospect of fines.

Online publishers and other websites that closely track users' interests - such as Amazon - fear that such a rule will prevent them from providing customised content based on recurring themes - whether cooking or sports - in users' browsing sessions.

But the potential for fines is also causing consternation among major companies that use or depend upon data.

Originally Reding had wanted to fine companies a maximum of five percent of their annual global turnover for any breach of the rules. That has been scaled down to two percent, but is still a potentially vast figure.

For Google, for example, a breach of the rules could result in a fine of up to $800 million, based on expected full-year revenues in 2011.

(AP) ? A man who masqueraded as a Rockefeller and is now accused of murder was confronted in court Monday by witnesses who said he tried to sell them an Oriental rug with a blood spot.

Christian Gerhartsreiter, who is charged with murdering a man from whom he had rented a cottage in 1985, smiled slightly at witnesses Robert and Bettie Brown, an elderly couple who once welcomed him into their home for religious study classes and became his close friends.

Gerhartsreiter is charged with killing John Sohus, whose bones were found in 1994 in the backyard of his former home in San Marino, a wealthy suburb of Los Angeles, nearly 10 years after Sohus and his wife vanished.

Gerhartsreiter left town soon after they went missing. He is charged only with killing 27-year-old John Sohus. No sign of Linda Sohus has been found.

Robert Brown testified at a preliminary hearing about a day in 1985 when the man they knew as Chris Chichester showed up at their door with belongings he wanted to sell because he was going on a trip.

Brown said he called his wife to look at a small Oriental rug.

"She looked at it, and said, 'Chris, this has blood on it.' He fairly quickly rolled it back up and left with it," Brown said, adding that his wife suggested a place he could take it to be cleaned.

Brown said Chichester, who was then pretending to be an instructor at the University of Southern California's film school, showed up on another occasion asking how to dispose of photo processing chemicals.

Chichester had told the Browns that he was descended from English peerage and was related to a famed British sailor of the same last name. He had also given them tea, saying it came from his family's Indonesian tea plantation.

About a week after the rug incident, Brown said Chichester disappeared, which was not surprising.

"He was something of a phantom. He was different, unusual. He was believable up to a point. You couldn't pin him down on details. Everything was loose and feathery," Brown said.

Another witness filled in the blanks of Gerhartsreiter's travels after he left San Marino. Gerhartsreiter was arrested in Boston in 2008.

Christopher Bishop, an Episcopal priest from Connecticut, testified that he met the man he knew as Christopher Crowe in 1985 when he appeared at the church where Bishop's father was the priest.

The younger Bishop said he was a film student at Columbia University at the time and his father told him there was a new parishioner who was also involved in film.

Crowe told Bishop that he was the brother of well-known film director Cameron Crowe and had been to film school in California. He said he was in Connecticut to produce the new "Alfred Hitchcock Presents" series, Bishop said.

"Did you believe it?" asked prosecutor Habib Balian.

"Yes," the witness said. "I gave him a screenplay I had written and he had critiqued it. He certainly was conversant in film."

In 1988, Crowe gave Bishop a truck, saying he had used it in a movie and didn't need it anymore. Bishop said he later found out there was a lien on the truck and it had fraudulent license plates. He dumped the truck at a train station, thinking he could get in trouble for it.

"I thought that was going to be the end of the story," Bishop said. "But one day, I was sitting at my parents' house and a Greenwich detective came to the door."

The detective asked about Crowe, saying he was involved in a missing person investigation. Bishop said he later asked Crowe who he really was.

"What was the defendant's response?" Balian asked, to which Bishop replied: "Gotta go, bye."

The truck was later found to be registered to John and Linda Sohus and had disappeared at the time Gerhardsreiter left the house, authorities said.

On the East Coast, Gerhartsreiter had claimed to be Clark Rockefeller, a member of the famous family, and married a woman with whom he had a daughter. She divorced him when she found out he had duped her.

Last year, Gerhartsreiter was convicted of kidnapping his daughter in Boston during a custody dispute. He is serving a four- to five-year prison sentence for that crime.

He would be eligible for parole this year if he was not facing the California charge, which could bring him 26 years to life in prison if he's convicted.

Other witnesses, including Linda Sohus' mother and her best friend, testified about the missing woman's life and the mystery of why she had disappeared. Susan Coffman said she and Sohus were best friends and that she kept a detailed diary of their conversations.

She said Linda Sohus had some unhappy romances before she met and married John Sohus, and that the woman said after the wedding she was happy for the first time.

Coffman testified that in February 1985, Sohus called to say she and her husband had to go to New York briefly for jobs. Both she and Linda Sohus' mother, Susan Mayfield, were told that Linda Sohus planned to be back in two weeks.

But the couple vanished and both women received cryptic postcards from Paris signed by John and Linda saying they had gone there instead of New York. Coffman found it suspicious and said many years later she was sure it was not her friend's handwriting.

She said she contacted the television show "Unsolved Mysteries" and had them investigate, as well as prodding police to do something. But until bones were dug up in the backyard of the Sohus home, she said there was little interest.

After the bones were found, she said, police promised to give the case another look but many years passed before anything happened.

Another neighbor in San Marino, Winslow Reitnouer, said she knew Gerhartsreiter as Chichester. She testified that she saw him visit the neighborhood in 1986.

She said she once got a phone call from him on a crackly line in which "he said he was in Stockholm and just calling to say hello."

The preliminary hearing will determine whether Gerhartsreiter is bound over for trial on the murder charge. The prosecutor estimated the hearing will end Tuesday.
